1. Acceptance of Terms

By accessing the Dewduck website, requesting a quote, or engaging in any business services with Dewduck, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2. Services Provided

Dewduck provides digital services including but not limited to Website Development, Android App Development, Custom AI Tools, and SaaS Solutions. The exact scope of services will be detailed in individual project proposals or service agreements.

3. Project Proposals and Scope

All projects commence based on a written proposal or scope of work document. Any requests outside the agreed scope will be subject to additional charges and timeline adjustments.

4. Client Responsibilities

The client agrees to provide necessary assets (text, images, branding, API keys) in a timely manner. Delays in providing required materials or feedback may result in project delays that are not the liability of Dewduck.

5. Payments and Invoices

Payment terms will be specified in your project agreement. Standard engagements require a mutually agreed non-refundable deposit before work begins, with the remaining balance due upon defined milestones or completion.

6. Revisions and Change Requests

Projects include a specific number of revision rounds as stated in the proposal. Significant scope changes or additional revisions will be billed at our standard hourly rate.

7. Intellectual Property

Upon full and final payment, intellectual property rights for the custom deliverables are transferred to the client. Dewduck retains the right to use underlying, non-proprietary code, libraries, and frameworks across other projects.

8. Third-Party Services

Our solutions may rely on third-party APIs, hosting, or software. Dewduck is not responsible for outages, price changes, or terms of service updates enacted by these third parties.

9. Confidentiality

Both parties agree to keep all proprietary information, trade secrets, and business plans disclosed during the project strictly confidential.

10. Service Availability

While we strive for high availability for hosted solutions, we do not guarantee uninterrupted access and are not liable for downtime caused by external server networks or unpreventable circumstances.

11. Limitation of Liability

Dewduck shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from the use of our services.

12. Termination

Either party may terminate the agreement with written notice if the other party breaches material terms. The client is responsible for paying for all work completed up to the date of termination.

13. Governing Law and Jurisdiction

These terms shall be governed by the laws of India. Any disputes arising from these terms will be resolved in the courts of West Bengal, India.

14. Changes to These Terms

We reserve the right to update these terms at any time. Continued use of our services after updates constitutes acceptance of the new terms.
